Understanding Your MDST Market SAFE Investment
What is a SAFE?
A SAFE (Simple Agreement for Future Equity) is a simple investment contract that gives you the right to receive shares in MDST Market in the future, when we raise our next round of professional investment (called a "Series A").
Think of it like a pre-order: you're investing money now at a special "early bird" price, and you'll get your shares later when we have our next major fundraising event.
Your Investment Terms
This SAFE investment (minimum $1,000) gives you the right to convert your investment into MDST Market shares during the Series A round. You'll receive shares at a certain valuation cap. Think of it as locking in a favorable price today for shares you'll receive tomorrow.
How It Works
  1. You write a check to MDST Market
  1. We sign a SAFE agreement
  1. You don't get shares yet, but you have the right to get them later
  1. You become an early supporter of MDST Market
  1. Later (When We Raise Series A),your investment automatically converts to shares.
The Bottom Line
When will I get actual shares? When we raise our Series A.
What's my ownership percentage? Your investment amount ÷ valuation cap = your minimum ownership percentage.
Why not just issue shares now? SAFEs avoid complex and expensive valuations, legal work, and tax implications while giving you the same economic upside.
Is this a loan? No. This is an investment for future equity, not debt. There's no interest or repayment date.
